PLEASE READ THE FOLLOWING CONTRACT TERMS CAREFULLY. BY CLICKING "REGISTER" BELOW, YOU INDICATE YOUR AGREEMENT TO THE TERMS.
This is a contract between you (the SWITBAI Affiliate Partner) and us (Switbai). It describes how we will work together and other aspects of our business relationship. It is a legal document so some of the language is necessarily “legalese” but we have tried to make it as readable as possible. These terms are so important though that we cannot have you participate in our Affiliate Partner Program unless you agree to them. By participating in our Affiliate Partner Program, you are agreeing to these terms.
Definitions
"Switbai Academy Courses" means all of courses available on switbai.xyz
"Agreement" means this Affiliate Partner Agreement and all materials referred or linked to in here.
“Affiliate Partner Benefits” means the benefits made available to partners which we have described in this Agreement.
“Affiliate Partner Program” means our partner program as described in this Agreement.
“End User” means the authorized actual user of switbai.xyz, which may include individuals and organizations.
"We", "us", “our”, and “Switbai” means Switbai Nigeria Enterprises.
“You” and “Partner” means the party, other than Switbai, entering into this Agreement and participating in the Affiliate Partner Program.
Partner Rights and Obligations
We grant you, subject to the limitations set forth below, a non-transferable, non-exclusive right to demonstrate and promote the Switbai Academy courses solely for commercial purposes.
You may not alter the appearance, name and Price of our courses, course site or remove our name or logo from any means of Advertising you choose to employ. “Whitelabeling” is strictly prohibited. We determine the courses that we make available to you under this Agreement.
Partner Support
We will Provide you technical and sales support to enhance your activities as a Switbai Partner. After a customer has been duly referred to us by you and a business agreement has been concluded, we will continue to provide primary support to the end user. You will not be obligated to provide support of any kind to the end user.
Fees/Commission
We will pay a referral commission of 30% of the initial payment made by an end user for any course under the Affiliate Partner Payment. Earned commissions shall be paid into your supplied bank account on the 3rd day of every new month.
Proprietary Rights
No license to any Affiliate is granted by this Agreement. The Switbai Academy courses are protected by intellectual property laws. All Switbai Academy courses belong to and are the property of Switbai.
We encourage all customers and partners to comment on Switbai products and services, provide suggestions for improving them, and vote on suggestions they like. You agree that all such comments and suggestions will be non-confidential and that we own all rights to use and incorporate them into the Switbai products and services, without payment to you.
Term and Termination
a. Term. This Agreement will apply for as long as you participate in the Affiliate Partner Program, until terminated.
b. Termination. Both you and we may terminate this Agreement any time.
Partner Representations and Warranties
You represent and warrant that: your participation in this Affiliate Partner Program will not conflict with any of your existing agreements or arrangements.
General
a. Amendment: We may update and change any part or all of this Agreement. If we update or change this Agreement, you will be notified via email. The updated Agreement will become effective and binding on the next business day after it is posted.
b. Applicable Law. This Agreement shall be governed by the laws of The Federal Republic of Nigeria. In the event either of us initiates an action in connection with this Agreement or any other dispute between the parties, the exclusive venue and jurisdiction of such action shall be in federal courts in Nigeria.
c. Relationship of the Parties. Both you and we agree that no joint venture, business partnership, or employment relationship exists between you and us as a result of this Agreement.
d. Notices. Notice will be sent to the contact email set forth herein (as such may be changed by notice given to the other party), and will be deemed delivered as of the date of actual receipt.

We may give notice to you by mobile calls to the mobile numbers on record in our account information for you.
e. Entire Agreement. This Agreement is the entire agreement between us for Affiliate Partner Program and supersedes all other proposals and agreements, whether electronic, oral or written, between us. We object to and reject any additional or different terms proposed by you.
f. No Third Party Beneficiaries. Nothing in this Agreement, express or implied, is intended to or shall confer upon any person or entity (other than the parties hereto) any right, benefit or remedy of any nature whatsoever under or by reason of this Agreement.
g. No Licenses. We grant to you only the rights expressly stated in this Agreement, and you receive no other rights or licenses with respect to us, the Switbai Academy courses, our trademarks, or any other property or right of ours.
h. Sales by Switbai. This Agreement shall in no way limit our right to make available or sell Switbai Acdemy courses directly or indirectly, to any current or prospective customers.
i.Authority. Each party represents and warrants to the other that it has full power and authority to enter into this Agreement and that it is binding upon such party and enforceable in accordance with its terms.
